Terms & Conditions

The terms on which Batik Legal provides access to this website and delivers its data privacy advisory services in Singapore.

Please read these Terms and Conditions carefully. By accessing this website or engaging our services, you confirm that you have read, understood, and agree to be bound by these terms. If you do not agree, please refrain from using our website or services.

1. Definitions

In these Terms and Conditions, the following words carry the meanings set out below:

"Agreement"

These Terms and Conditions together with any engagement letter, proposal, or statement of work issued by Batik Legal.

"We / Us / Our"

Batik Legal, a legal practice registered in Singapore.

"You / Client"

The individual or organisation accessing our website or engaging our services.

"Services"

Data privacy and PDPA compliance advisory services described on our website or in an engagement letter.

"Content"

All text, documents, reports, templates, and materials published on our website or delivered in connection with our services.

"PDPA"

The Personal Data Protection Act 2012 of Singapore, including all amendments and subsidiary legislation.

2. Acceptance of Terms

By accessing our website at batiklegalol or submitting an enquiry or engaging our services, you indicate your acceptance of these Terms and Conditions.

You must be at least 18 years of age and have the legal capacity to enter into binding agreements. Where you are acting on behalf of an organisation, you represent that you have the authority to bind that organisation to these terms.

If you do not accept these terms, please do not use our website or engage our services.

3. Services

Batik Legal provides data privacy advisory services in Singapore, including:

PDPA Compliance Assessment

Structured review of data protection practices and gap analysis against PDPA requirements.

Data Protection Officer (DPO) Support

Ongoing advisory retainer services providing external DPO assistance and guidance.

Data Breach Response & Notification

Advisory support for incident response, PDPC notification, and post-incident review.

The scope of each engagement is defined by an engagement letter or proposal. We may modify the scope or withdraw services if circumstances change materially, with reasonable notice provided.

Services are subject to availability and are provided in Singapore. Geographic restrictions may apply to cross-border advisory matters.

4. User Responsibilities

In using this website and engaging our services, you agree to:

  • Provide accurate, complete, and current information in all enquiries and engagement documents.
  • Cooperate in good faith throughout any engagement, including by providing timely access to relevant records, systems, and personnel.
  • Use content and deliverables only for the purposes for which they were provided and within your own organisation.
  • Refrain from using our website or services for any unlawful purpose or in a manner that infringes the rights of others.

Prohibited Activities

  • Reproducing, reselling, or redistributing our deliverables to third parties without written consent
  • Attempting to circumvent or disable website security features
  • Submitting false or misleading information in enquiries or engagements
  • Using our materials to misrepresent compliance status to regulators

5. Intellectual Property

All content on this website and deliverables produced in the course of an engagement — including written reports, templates, guidance notes, and analysis — remain the intellectual property of Batik Legal unless expressly agreed otherwise in writing.

Upon full payment of applicable fees, you are granted a limited, non-exclusive licence to use deliverables for your own internal compliance purposes. This licence does not permit redistribution, sublicensing, or modification without our prior written consent.

The Batik Legal name, logo, and related marks are proprietary. Nothing in these terms grants any right to use our trademarks or branding.

6. Fees and Payment

Fees for our services are as set out in the relevant engagement letter or proposal and are denominated in Singapore Dollars (SGD).

Payment Terms

Invoices are payable within 14 days of issue unless otherwise agreed. Retainer arrangements are invoiced monthly in advance.

Payment Methods

Bank transfer (PayNow or FAST), cheque payable to Batik Legal, or such other methods as may be agreed at the time of engagement.

Late Payment

Overdue invoices may attract interest at 1.5% per month. We may also pause the delivery of services pending settlement of outstanding amounts.

Refunds

Fees paid for completed work are non-refundable. Where work has not commenced, refund requests will be considered on a case-by-case basis. Retainers are non-refundable for the current month once work has begun.

7. Service-Specific Terms

PDPA Compliance Assessment

The assessment scope is defined at the outset of the engagement. Deliverables are based on information provided by the client; accuracy of the assessment depends on the completeness of information supplied. The gap analysis report reflects the position at the time of assessment and should not be relied upon as a complete or ongoing compliance certification.

DPO Support Retainer

Retainer arrangements include agreed response times for routine queries. Complex matters or those requiring significant research may require separate scoping. Response time commitments are subject to the availability of relevant Batik Legal personnel. Retainers do not constitute the appointment of Batik Legal as a statutory DPO under any regulation.

Data Breach Response

Breach response engagements are time-sensitive. We prioritise initial engagement but cannot commit to specific response times until scope and resourcing are confirmed. Advice provided during an active incident is based on information available at that time and may require revision as the situation develops.

8. Disclaimers

The information on this website is provided for general informational purposes and does not constitute legal advice. It should not be relied upon as a substitute for professional advice tailored to your specific situation.

Our services are provided on the basis of the information available at the time of the engagement. Regulatory requirements and interpretations may change, and we do not commit to monitoring or updating previous advice unless specifically engaged to do so.

We do not represent that our services will achieve any particular regulatory outcome or that compliance with our recommendations will prevent enforcement action by the PDPC or any other authority.

9. Limitation of Liability

To the extent permitted by Singapore law, Batik Legal's total aggregate liability to you in connection with any engagement or these terms shall not exceed the total fees paid by you in respect of the specific matter giving rise to the claim.

We shall not be liable for any indirect, consequential, or special loss, including loss of profit, loss of data, regulatory fines, or reputational damage, even if we have been advised of the possibility of such losses.

Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or any other matter that cannot be excluded under applicable law.

10. Indemnification

You agree to indemnify and hold harmless Batik Legal, its partners, associates, and staff from any claims, losses, or damages arising from your breach of these Terms and Conditions, your misuse of our services or deliverables, or any inaccurate or incomplete information you provide in the course of an engagement.

11. Termination

Either party may terminate an engagement by providing 30 days' written notice unless a different period is specified in the engagement letter. We may terminate with immediate effect if you breach these terms in a material way or if circumstances arise that make it professionally inappropriate for us to continue.

On termination, you remain liable for fees in respect of work completed prior to the termination date. Provisions relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.

12. Governing Law and Dispute Resolution

These Terms and Conditions are governed by and construed in accordance with the laws of the Republic of Singapore. You submit to the non-exclusive jurisdiction of the Singapore courts.

Before commencing formal proceedings, the parties agree to attempt to resolve any dispute through good-faith discussion. If the dispute is not resolved within 30 days, either party may refer the matter to mediation at the Singapore Mediation Centre before proceeding to litigation.

13. General Provisions

13.1

Entire Agreement

These terms, together with any relevant engagement letter, constitute the entire agreement between the parties and supersede prior discussions or representations.

13.2

Severability

If any provision is found to be unenforceable, the remaining provisions continue in full force.

13.3

Waiver

Failure to enforce any right under these terms does not constitute a waiver of that or any other right.

13.4

Assignment

You may not assign your rights or obligations without our prior written consent. We may assign our rights to a successor entity following a restructuring or acquisition.

13.5

Notices

Formal notices should be sent by email to legal@batiklegalol or by post to our registered address. Notices sent by email are effective on the next business day after sending.

14. Changes to These Terms

We may update these Terms and Conditions from time to time. When changes are made, we will revise the "Last Updated" date above. For material changes, existing clients may be notified by email.

Continued use of our website or services after revised terms take effect constitutes acceptance of the updated terms. We encourage you to review this page periodically.
